Corporate Governance

The governance model of Echoenergia is based on pillars such as ethics, transparency, and management excellence.

In line with its Values, Echoenergia adopts a high standard of corporate governance, and its structure comprises a Board of professionals renowned in the sector, as well as the Management Team.

The Board also has support committees to give advice on specific matters. The diagram below illustrates such structure:

The Board of Echoenergia is comprised of 5 members. Among its attributions, establish the general guidance of the Company’s business, approve the annual budget, business plan, as well as growth projects. Meetings of the Board Members take place according to the predefined annual schedule.

Mr. Miranda is an experienced executive with more than 32 years in the electricity sector, of which more than 17 years at Equatorial.
Before joining CEMAR, he held several positions in the areas of electrical system maintenance management at COELBA, in the energy sector, and was also COELBA's representative at CCON.
Electrical engineer graduated from the Federal University of Bahia, with a specialization in Maintenance Management promoted by Eletrobrás in partnership with PUC/RJ and the Federal School of Engineering of Itajubá/MG and an MBA in management of electricity companies from FGV/SP

Leonardo da Silva Lucas Tavares de Lima

Mr. Leonardo is an executive with more than 21 years of experience, of which more than 16 years at Equatorial.
He was elected CELPA's Investor Relations Officer in November 2012 and remained in that position until January 2014, when he became Equatorial's Chief Financial and Administrative Officer.
He was also an Officer at CEMAR from April 2011 to October 2012. Previously, he was controller at CEMAR (a position he held from 2007 to April 2011) and Planning and Management Coordinator (from 2005 to 2007).
Before joining CEMAR, he worked at Telemar Norte Leste, in the telephony sector, ABN Amro, in the banking sector, URB-Empresa de Urbanização do Recife, in the urbanization sector, and at Shell Brasil, in the oil sector.
Graduated in Civil Engineering from the University of Pernambuco, with a postgraduate degree in Production Management and an MBA in Electric Energy Business Management from FGV. In August 2016 he was elected Director of CEMAR. He has been the Investor Relations Officer at Equatorial since 2019.

Eddie’s career was developed in the energy sector. After leading energy projects in Europe, Asia and Americas on different types of energy sources, he stablished in Brazil in the moment of the emergence of wind power and led 2 successful ventures, in a country that has become one of the 10th largest wind energy markets in the world. His latest achievements were:
• Former Gamesa CEO for the South Cone region and member of the Global Executive Committee, responsible for the startup, scale-up and management of the company that achieved more than 20% of wind turbines market share in Brazil - one of Gamesa’s fastest growing and most profitable region globally; Established Gamesa in 3 new markets within 2 years’ time frame: Brazil, Uruguay and Chile
• CEO, Shareholder & Board Member responsible for the startup, scale-up and management of Echoenergia (investee of private equity firm ACTIS) to over 1.2 GW of wind power capacity in less than 2 years, which has become one of the largest and most efficient renewable power generators in Brazil (2017-2022)
• ABEEOLICA Board Member since 2012
• Certified Board Member - IBGC (Brazilian Institute of Corporate Governance)
• More than 19 years of international experience in the energy sector

Mr. Gonçalves is a partner and member of the Board of Directors of Gera Venture and Eleva Educação (since 2011); Imaginarium S/A (since 2012); and Brasil Brokers (since 2014).
He was the equity investment partner of 3G Capital in New York from 2005 to 2011.
Between 1998 and 2004 he was a portfolio manager for international equities and head of the analysis area at JGP S.A.
He was a corporate finance analyst and Brazilian equity manager at Banco Pactual between 1994 and 1998, and an international trainee and corporate finance analyst at Citibank NA from 1990 to 1994.
Graduated in business administration from PUC-Rio, he has a specialization in Corporate Finance from IBMEC and in Mergers and Acquisitions from the Wharton School of Business.

Mr. Tiago Noel is responsible for investments in the electricity sector in the Opportunity funds, which he joined in 2020.
He was a partner at the manager Athena Capital from 2014 to 2020, covering the electricity, infrastructure and oil & gas sectors, having previously worked in the areas of risk, equity research and management of Modal Asset Management and in the strategic planning of Enel Brasil .
Bachelor in Economics from the Fluminense Federal University.

Board Committees

The Committees were appointed to advise the Board Members on specific matters related to the Company’s business.  The members of the committee are appointed by the Board Members.

The competencies and members of each of the committees are listed as follows:

Management Team

Experienced team with complementary skills places Echoenergia as a leader in the Brazilian wind sector

Being selected by the CEO and and approved by the Board Members the Management Team is the executive and representative body of the Company, currently composed of: (i) CEO, (ii) Chief Financial Officer, (iii) Chief Operating Officer and (vi) Commercialization Director,  whose competencies are set forth by the Bylaws. The Management Team also establishes internal committees to deal with specific issues in a structured manner.
